Terms of Service
Terms of Service
Contextur, Inc.
Effective Date: April 7, 2026
1. Acceptance
By downloading or using Contextur, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Contextur.
Contextur is intended for users who are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is higher. If you are under this age, you may not use Contextur. By using Contextur, you represent and warrant that you meet this eligibility requirement.
2. Description of Service
Contextur is a desktop application that transforms documents, emails, and files into structured, AI-ready context. All file processing occurs locally on your device. We reserve the right to modify, suspend, or discontinue any part of the service at any time. For material changes affecting core functionality, we will provide reasonable advance notice to users with accounts.
3. Account
You may use Contextur anonymously or create an account with your email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account.
4. Subscription and Billing
Contextur offers a free trial and paid subscription plans. Subscriptions are billed through Stripe on a recurring basis.
Free trial
New users may access Contextur during a free trial period. The free trial is your opportunity to evaluate the application before purchasing. No charge is made during the trial period.
Paid subscriptions
Upon conversion to a paid plan, your payment method will be charged the applicable subscription fee on a recurring basis (monthly or annually, depending on your selected plan). You authorize Contextur to charge your payment method for all applicable fees.
Cancellation
You may cancel your subscription at any time through Stripe or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to Contextur through the end of the period for which you have paid.
Refund policy
Except as otherwise required by applicable law, all subscription fees are non-refundable once charged. The free trial period is provided so that you may evaluate Contextur before committing to a paid subscription. We do not issue refunds for partial billing periods or unused subscription time.
Note for users in certain jurisdictions: If you are a consumer located in the European Economic Area, United Kingdom, Australia, Canada, or another jurisdiction with mandatory consumer protection laws, you may have statutory rights, including rights of withdrawal or refund, that cannot be waived by contract. Nothing in these Terms limits or excludes rights you have under mandatory applicable law.
5. Acceptable Use
You agree not to:
- Use Contextur for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to reverse engineer, decompile, disassemble, or extract the source code of Contextur
- Use Contextur to process content you do not have the legal right to access or use
- Attempt to circumvent usage limits, subscription requirements, or license restrictions
- Use Contextur to infringe the intellectual property or privacy rights of any third party
- Interfere with or attempt to disrupt the integrity or security of Contextur or its infrastructure
6. Your Content
You retain all rights to the files and content you process through Contextur. We do not claim ownership of your content. All processing occurs locally on your device and your content is not transmitted to our servers. By using Contextur, you represent that you have all necessary rights, licenses, and permissions to process the content you submit through the application.
You agree to indemnify, defend, and hold harmless Contextur, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights, including intellectual property or privacy rights. This indemnification obligation will survive termination of these Terms.
7. Intellectual Property
Contextur, its logo, and all related software, features, and functionality are the property of Contextur, Inc. and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Contextur grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Contextur application for your personal or internal business purposes. You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the application or any portion thereof.
8. Termination
You may terminate your account at any time by contacting [email protected] or using the account deletion feature within the application.
We may suspend or terminate your access to Contextur at any time, with or without cause, with or without notice, in our sole discretion. Without limiting the foregoing, grounds for termination include violation of these Terms or conduct that we determine to be harmful to other users, Contextur, or third parties.
Upon termination: (a) your license to use Contextur ceases immediately; (b) you remain responsible for any fees accrued prior to termination; and (c) Sections 6, 7, 9, 10, 11, 13, and 14 of these Terms survive termination.
9. Disclaimer of Warranties
CONTEXTUR IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF CONTEXTUR IS AT YOUR SOLE RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTEXTUR, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE CONTEXTUR, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CONTEXTUR IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). THE FOREGOING LIMITATIONS SHALL NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR TO THE EXTENT SUCH LIMITATIONS ARE PROHIBITED BY APPLICABLE LAW.
11. Force Majeure
Contextur, Inc. shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, labor, or materials, or failures of third-party infrastructure providers including cloud hosting, payment processors, or internet service providers.
12. Dispute Resolution
Informal resolution
Before initiating any formal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
Binding arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of Contextur shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English, in Chicago, Illinois (or by videoconference if mutually agreed). Contextur will bear AAA administrative and arbitrator fees to the extent required by the AAA Consumer Arbitration Rules. The arbitrator shall have authority to award monetary relief only on an individual basis; the arbitrator shall have no authority to award injunctive or declaratory relief except to the extent necessary to give full effect to a monetary award. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver
YOU AND CONTEXTUR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Small claims and injunctive relief
Notwithstanding the foregoing, either party may bring an individual action in small claims court. Either party may also seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights.
Exempted jurisdictions
If you are a consumer located in the European Economic Area, United Kingdom, Australia, Canada, or another jurisdiction where mandatory consumer protection laws prohibit mandatory arbitration or class action waivers, the arbitration clause and class action waiver above do not apply to you. You retain the right to bring claims before the courts of your country of residence under applicable consumer protection law.
Opt-out right
You may opt out of the arbitration agreement and class action waiver by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, email address associated with your account (if any), and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms will continue to apply, and any disputes will be resolved pursuant to Section 13 (Governing Law).
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where mandatory consumer protection laws of your country of residence apply.
14. Changes to These Terms
We may update these Terms at any time. We will provide notice of material changes through the application or on our website. Your continued use of Contextur after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using Contextur.
15. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contextur, Inc. with respect to your use of Contextur and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
